Studio Raphael – Terms of Service

1. Introduction

These Terms of Service (“Terms”) apply to all work undertaken by Studio Raphael (“Studio”, “we”, “us”, “our”) for the commissioning party (“you”, “Client”). By commissioning any work from Studio Raphael, you agree to these Terms.

 

2. Services Provided

The scope of work, deliverables, and timelines will be set out in a written proposal or quote prior to project commencement. The scope may include, but is not limited to, design, branding, content creation, strategy, and consultancy.

 

3. Fees & Payment

  • A non-refundable 50% deposit is required to confirm the booking and secure the project slot.
  • The remaining 50% balance is due before delivery of the final files or go-live.
  • Work will not begin until the deposit is received.
  • Final deliverables will only be supplied upon receipt of full and cleared payment.

 

Payment Terms:

  • All invoices are due immediately upon receipt, unless otherwise agreed in writing.
  • Late payments may incur interest at 8% above the Bank of England base rate, plus a fixed fee of £40–£100 in line with the Late Payment of Commercial Debts Act.

 

4. Revisions & Amendments

The quoted fee includes up to three (3) rounds of revisions. These rounds must be based on the original brief.

  • Minor changes outside the original scope may be accommodated at our discretion.
  • Additional revisions, new deliverables, or scope changes will be quoted separately and may affect timelines.
  • Revisions must be requested within 2 days of delivery of each round to avoid project delays.

 

5. Timeline & Client Responsibilities

Deadlines will be agreed at the start of the project. The Client agrees to provide timely feedback, approvals, and any required content or materials.

Delays caused by the Client (e.g., lack of communication, missed feedback windows) may result in rescheduling or additional fees.

 

6. Intellectual Property & Usage Rights

  • All intellectual property rights remain with Studio Raphael until full payment has been received.
  • Upon full payment, the Client is granted a non-exclusive, non-transferable licence to use the final deliverables for agreed purposes.
  • This licence does not include working files (e.g., PSDs, INDD, RAWs) unless explicitly agreed.
  • Studio Raphael retains the right to reuse non-identifiable components, design methods, or approaches.

 

7. Portfolio & Publicity Rights

We love showcasing our work and may feature completed projects in our portfolio, website, or social media.

Unless you’ve requested confidentiality in writing prior to project commencement, you grant Studio Raphael permission to reference and publish the work, including your business name, logo, and visuals.

 

8. Cancellation & Termination

  • Either party may terminate the project in writing at any time.
  • The 50% deposit is non-refundable.
  • If the project is terminated after work has begun, the Client agrees to pay for work completed to date on a pro-rata basis.
  • Work completed but not paid for may not be used in any form.

 

9. Limitation of Liability

Studio Raphael will provide services with reasonable care and skill, but will not be liable for:

  • Loss of profit, revenue, or data.
  • Indirect, incidental, or consequential damages.
  • Delays caused by force majeure (e.g., illness, power outages, acts of God).

Our total liability is limited to the amount paid by the Client for the relevant services.

 

11. Governing Law & Dispute Resolution

These Terms of Service shall be governed by and interpreted in accordance with the laws of England and Wales.

In the unlikely event of a dispute, both parties agree to first attempt to resolve the matter amicably through informal negotiation.

If a resolution cannot be reached, the matter may be referred to mediation before pursuing legal action. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of England and Wales.

 

11. Agreement

By confirming a project with Studio Raphael, you acknowledge that you have read, understood, and agree to these Terms.
